THIS TERMS AND CONDITIONS APPLIES TO TUITIONIZE LIMITED OWNER AND
OPERATOR OF TUITIONIZE WEBSITE AND MOBILE APPLICATIONS (COLLECTIVELY
THE “PLATFORM”), SERVICES AND TOOLS REGARDLESS OF HOW YOU ACCESS OR
USE ANY OF THEM.
These Terms of Service including our Privacy Policy (collectively “Terms” or “Agreement”) constitute a
legally binding agreement between you either an individual, group or entity (the “Tutor/Instructor”,
“User”, “You”, or “Your”) and Tuitionize Ltd regarding your use of the Service.
1. DEFINITION OF TERMS
Unless expressly stated otherwise, the following words shall hold the meaning as described hereunder:
“Tutor/Instructor” - A registered user who registers for a Tutor, Instructor, Trainer or Teacher account on
Tuitionize platform .
“Subscriber”, “User” - refers to users who hire a Teacher, Tutor, Trainer or Instructor the Tuitionize apps
and website to receive services offered by the Teacher, Tutor, Trainer or Instructor on Tuitionize platform.
“Content” - Any audio/video content including any live video streams and chats offered by the Tutor/
Instructor to his/her Subscribers on Tuitionize platform .
“User” - refers to all users of the Service offered by Tuitionize Ltd whether registered or unregistered.
“Parties” - collectively refers to Tutor/Instructor, Subscriber or Users when interacting with each other
through the Service.
“Service/s” - include but is not limited to the website, apps and all software features and functionality
offered by Tuitionize Ltd to its users such as content posting, uploading, live video streaming and chat
functionality.
“Service fees” - a fee of 20% will be charged by Tuitionize Ltd to the Tutor/Instructor on all income
earned by the Tutor/Instructor through Tuitionize.
“Transaction fees” - refers to PayPal or bank transaction fees that is charged and deducted from the
Tutor/Instructor on all income earned by the Tutor/Instructor through Tuitionize.
2. ELIGIBILITY
You must be at least eighteen (18) years of age to sign up for a Tutor/Instructor account on Tuitionize
platform and you must have the capacity to enter into a legally binding Agreement in your country or
state of residence.
2.1. PLEASE NOTE - IF YOU ARE UNDER THE AGE OF THIRTEEN YEARS, YOU ARE STRICTLY
PROHIBITED FROM ACCESSING OUR SERVICES AND PROVIDING ANY PERSONAL
INFORMATION TO US THROUGH OUR SERVICES. WE DO NOT KNOWINGLY COLLECT ANY
PERSONAL INFORMATION FROM USERS UNDER THE AGE OF THIRTEEN YEARS.
2.2. BY CONTINUING TO USE THE SERVICES YOU REPRESENT AND WARRANT TO Tuitionize
Ltd THAT YOU HAVE READ AND UNDERSTOOD THE TERMS AND YOU AGREE TO BE
BOUND BY THEM.
3. THE SERVICE
Tuitionize is an online platform that enables Subscribers to gain access to Tutor/Instructor’s content by
subscribing to the services offered by a Tutor/Instructor on Tuitionize platform .
3.1. Tutors/Instructors must sign up for an account on Tuitionize platform in order to create one or more
profiles to offer different content to their subscribers. Once the Tutor/Instructor uploads the content on a
specific profile, the content will be accessible exclusively to all subscribers and users. The Tutors/
Instructors are required to offer a profile description outlining the content that the subscriber will receive
on that specific Tuitionize profile to enable a prospective subscriber make an informed decision, along
with the timeline of when the content will be released.
3.2. Tuitionize Ltd does not charge Tutors/Instructors any fees for creating accounts and uploading
content on Tuitionize platform platform, however, there is a fixed service charge when the account is
active and earning money. A fixed processing fee of £1 will be deducted from Tutors/Instructors ’ monthly
statement every month. In case of group teachings the fee will be calculated accordingly which could be
higher than stated above.
3.3. To offer value to subscribers, Tutors/Instructors agree to only offer original content and offer it
exclusively on Tuitionize platform . Any violation of this provision by the Tutor/Instructor will be
deemed a material breach of this Agreement and Tuitionize Ltd may seek appropriate legal
remedy.
3.4. Please note that Tuitionize Ltd only enables Tutors who wish to monetise their content to offer it to
their Subscribers for a subscription fee set by the Tutor. Nothing in this Agreement guarantees the Tutor/
Instructor any particular amount of income or a minimum number of subscribers during the term of this
Agreement.
3.5. Unless explicitly stated otherwise, our responsibility is limited to facilitating the availability of
the Service to our Users.
4. TUTOR’S/INSTRUCTOR’S OBLIGATIONS
By signing up for a Tutor/Instructor account on Tuitionize platform , you expressly agree that:
(I) You have the legal right to upload, share, transmit and monetise the content that you are offering
through your account. Tuitionize Ltd reserves the right to remove any content from the Tuitionize
Platform if we are of the view that your content is violating any provisions of this Agreement, any
applicable law or any other user or third-party’s lawful rights
(II) You will not misrepresent any information that you provide through the Service to Tuitionize Ltd or
any other user;
(III) You will take full responsibility for the accuracy and legality of all content posted/uploaded or
promoted by you or any other party using your account on Tuitionize platform ;
(IV) You will ensure that your profile offers a detailed and accurate description of your content to Users;
(V) You will conduct yourself in a professional manner and in the event of a dispute between you and a
User, you agree to cooperate in the amicable resolution of such dispute;
(VI) You will provide your tutoring service with kindness, and respect to all at all times.
(VII)You will promptly and efficiently perform all your obligations towards other Users and Tuitionize
Ltd under this Agreement.
(VIII) You will ensure that You are aware of any applicable laws and regulations governing you;
(IX) You will not use any content available on Tuitionize platform (whether provided by Tuitionize Ltd ,
another User or any other third party), on any third party websites or for other business purposes
without Tuitionize Ltd’s prior written permission;
(X) You will not post any offensive, obscene, degrading, misleading or harmful text, video or images on
Tuitionize platform ;
(XI) You must be reliable to students and response to the messages promptly;
(XII) You must accept or decline a teaching request sent by students immediately;
(XIII) You are responsible for the rating you receive from your students. If your rating is too low your
account can be terminated or suspended;
(XIV) You must not advocate, use, or teach inappropriate, offensive, racist, hateful, sexist, pornographic,
false, misleading, incorrect, infringing, defamatory or libellous language, content or information;
(XV) You must not promote or advertise any other business in the platform;
(XVI) You must not contact students directly other than this platform;
(XVII) You must not ask students for their personal contact information or exchange your contact
information with them;
(XVIII) You will not copy, modify etc. materials posted, uploaded or available at this platform;
(XIX) You will not offer free lessons/services to students as promotional offers;
(XX) You only teach what students have subscribed for if your access to this platform approved;
(XXI) You understand that Services are subject to Tuitionize approval it could be rejected;
(XXII) You will be solely responsible for the payment of your taxes owed by you to any governmental
authority arising from any transaction;
(XXIII) You will not post, upload or in any other way distribute any content that may be potentially or
actually harmful to Tuitionize Ltd or any User or public worldwide;
(XXIV) You will not, in any way, infringe any User or third party’s copyright, patent, trademark, trade
secret or other proprietary rights or intellectual property rights including but not limited to rights of
publicity, confidentiality or privacy;
(XXV) You may not, intentionally or unintentionally cause harm or subvert the function of the Services
offered by Tuitionize Ltd by introducing any viruses, Trojan horses, time bombs, cancelbots or other
computer programming routines that may damage, modify, delete or interfere with any system, data or
personal information stored on Tuitionize platform ;
(XXVI) You may not disclose the personal information of any other User on Tuitionize platform ;
(XXVII) You will not impersonate another User;
(XXVIII) You will not post, share or promote any content that is demeaning to any group whether based
on race, disability, age, sexual orientation, gender identity or that may be deemed violent, defamatory,
suggestive or in any way illegal;
Note: If we discover that you have violated any of the aforementioned terms, we reserve the right to
block your account and take any appropriate legal action to ensure the safety of our users.
5. ACCOUNT CREATION AND SECURITY
Tutors/Instructors are required to sign up for a Tutor/Instructor account on www.tuitionize.com in order
to create profiles and offer their content/s to their Students/subscribers. We offer one account per Tutor/
Instructor, however, a Tutor/Instructor can create multiple profiles and offer them at varying subscription
rates to his/her Students on Tuitionize platform .
5.1. To activate your Tutor/Instructor account, you will need to link your PayPal account which will
enable your Subscription payments to be processed and paid into your account after deduction of
applicable service fees. During the account sign up stage, you will be required to provide Tuitionize Ltd
with certain personal information. You agree to provide us with true and complete information when
requested. Please note that all your personal information is collected and processed in accordance with
our Privacy Policy. If you do not agree with our Privacy Policy, please refrain from creating an account on
Tuitionize platform teaching and learning platform.
5.2. Your account is access controlled and as with all access controlled software, the system relies on the
account holder to protect their login credentials. You accept that you are solely responsible for any
activity that occurs on your account and you agree that you will maintain the confidentiality of your login
credentials. Please note that we will never contact you to request your password or other similarly
sensitive information and it is your responsibility to immediately notify us of any such suspicious activity
or unauthorised use of your Tutor/Instructor account.
5.3. You also agree that you will never use another User's account for any purposes whatsoever. You
release us from any liability arising from or related to any unauthorised access to your account. In the
event of any security breach or suspicious activity, you must immediately notify us at
admin@tuitionize.com
5.4. We reserve the right to immediately suspend or terminate any account if we discover that you have
provided inaccurate, fraudulent or incomplete information to us during your account registration or
anytime thereafter. We also reserve the right to refuse a sign-up request for a Tutor/Instructor account
without providing any reasons for our decision.
6. PAYMENT AND REFUNDS
When you sign up as a Tutor/Instructor, you are required to link your PayPal or Bank account to your
Tuitionize account which enables you to receive the income you generate through Tuitionize the teaching
and learning platform. When a User subscribes to one of your profiles on Tuitionize platform , such
subscriber is billed the monthly subscription fee as specified by you for that specific profile.
6.1. Tuitionize collects all payments on behalf of the Tutor/Instructor and transfers the full amount to the
Tutor/Instructor’s PayPal account less the 20% Tuitionize commission fee, PayPal/Bank account
transaction fees and the processing fee of £1 per student per month.
6.2. Payment will be made within forty-five (45) days of the end of the month in which the fee for a
Course was received.
6.3. You understand that the number of Students that subscribe to your service through this platform is the
result of marketing efforts which cost Tuitionize. You also understand that video calls and screen sharing,
domains, API, severs, etc are purchased from a third party, You agree that you will be charged £1 per
student per month charges for the website and mobile apps features provided through this platform to ease
the method of tutoring service provision.
7. REFUNDS
Neither Tutors/Instructors shall receive any payments, fees or commissions for any transactions for
which a refund has been granted. Full price will either be deducted from your next payment or Tuitionize
will require you return the full amount back to us.
7.1. You understand that we have 7 days of peace of mind policy. If a student changes his/her mind within
7 days we will not charge him/her for the training he/she received from you. Therefore, you agree that
you will not get paid for that period.
7.2. By accepting these terms and conditions and making use of the Services offered by Tuitionize Ltd ,
Tutors/Instructors expressly consent to the payment of commission fees and transaction fees as specified
in this Agreement. Tutors/Instructors also expressly agree to abide by all applicable PayPal terms and
conditions including those governing chargebacks and refunds processing.
7.3. All monetary amounts on our platform and this Agreement are specified in British Pound (GBP)
8. ACCOUNT TERMINATION
Once you have created your Tuitionize Tutor/Instructor account, it will remain open as far as you formally
request the termination of the account. You may terminate your Tuitionize Tutor/Instructor account at any
time by giving Tuitionize Ltd a minimum of 30 days’ notice. Your account termination notice must be
sent to admain@tuitionize.com. After the termination your profile will be visible in the our Tutors/
Instructors list. Therefore, new Subscribers will no longer be able to send hiring request to your profile
after you serve your termination notice but you will remain under an obligation to deliver all agreed
content to your current students as per your profile description.
8.1. Tuitionize Ltd reserves the right to terminate this Agreement and your access to the Services at any
time without giving any notice to you if we find that:
- You have violated the terms of this Agreement;
- Your conduct is harmful to Tuitionize Ltd or any of its Users; or
8.2. We also reserve the right to terminate this Agreement and withdraw our services by giving you 30
days’ notice.
9. YOUR CONTENT
Tuitionize contains a vast amount of user content including user profiles, audio and video content
uploaded by Tutors/Instructors on their profiles, content description, (“Your Content”). We do not claim
any ownership of Your Content, but you do acknowledge that by uploading, posting and sharing your
content you are granting us exclusive, world-wide, fully paid, royalty-free, license to use, distribute,
reproduce, publish, display or share Your Content on our Services and to make it accessible to other users
in accordance with this Agreement and any other licensing agreement we have entered into with you as a
Tutor/Instructor.
9.1. Please note that we may be required to remove Your Content from Tuitionize if it is claimed to be
infringing the intellectual property rights of a third-party. If you believe that Your Content has been
wrongly removed from Tuitionize, please contact us to contest the copyright infringement claim. For the
purposes of this agreement, ‘Your Content’ includes but is not limited to images, audio, videos, text or
similar material.
9.2. All information transmitted by a User is the sole responsibility of the User who posted/listed or
shared that content on Tuitionize platform and Tuitionize Ltd will not be liable for any errors or
omissions in Your Content.
10. INTELLECTUAL PROPERTY
Excluding ‘Your Content’, all content and Services made available by Tuitionize Ltd including without
limitation, the text, graphics, audio, video, interactive features, code, marks, software and the like
(“Tuitionize Ltd Content”) are owned by and/or licensed to Tuitionize Ltd and subject to trademark,
copyright and other intellectual property rights and international conventions.
10.1. This Agreement grants you only a limited, non-exclusive, non-transferable license to use our
Services for your personal and non-commercial use only. You understand that any violation of this
provision can incur criminal as well as civil liability.
11. COPYRIGHT DISPUTES POLICY
We respect the Copyrights of others and have zero tolerance policy towards violations of copyright laws.
Tuitionize Ltd reserves the right to immediately terminate your access to our Services and/or remove any
content that we believe, infringes the intellectual property rights of another person or entity or which is
alleged to be infringing the rights of any third-party.
11.1. You agree that you will not post, upload, share or in any way reproduce any content that you do not
have the full legal rights to use.
11.2. If you believe that your copyrighted material or content is posted, uploaded or made accessible on
Tuitionize platform, please inform us at the email address listed below of such material and provide us
with the following information:
11.3. Identification of the material or content that is claimed to be infringing your copyrighted works
(such as links to the page where such content appears and description of the content);
11.4. Your contact information including your name, phone number, and email address;
11.5. A statement by you setting out that you are either the owner of the copyrighted work or have been
authorised by the owner to communicate with us regarding the copyright infringement;
11.6. A statement by you confirming that all information provided by you including your claim is bona
fide true.
11.7. If you are a/n Tutor/Instructor and Your Content has been removed as a result of copyright
infringement dispute please contact us at the email address provided in this provision along with the
following:
11.8. Information identifying the content that has been wrongly removed with a link to the page where the
content was posted before it was removed;
11.9. A statement by you setting out that you are the owner or have the requisite authority or license to use
the content that is subject of the Copyright Dispute;
11.10. Any and all supporting evidence that we can provide the disputing party to rebut their claim.
12. FEEDBACK
If you have any ideas or suggestions on how we can improve our Service, you are welcome to send them
to us by email. For purposes of full disclosure and avoidance of any conflict, please note that by
submitting your feedback/ideas to us you are granting us full and exclusive rights, at our discretion, to
use, disclose and otherwise exploit your ideas and suggestions, either by inclusion in our Service or
creation of another business, in whole or part, without any restriction or compensation to you, either now
or ever in future.
12.1. We reserve the right to add new features and functionality, modify existing features and amend any
provision of this Agreement. Any changes in the features and functionality of our Service will become
effective from the date of implementation. Where we make any material amendments to this Agreement,
we will notify you by updating the last updated date on the top of this Agreement and inform you of the
effective date of such updated Agreement. Please take the time to review these terms regularly to
familiarise yourself of any material changes.
12.2. You release Tuitionize Ltd of any liability arising from your failure to review such modified Terms.
13. DISCLAIMER OF WARRANTIES
ALL SERVICES PROVIDED BY THE TUITIONIZE PLATFORM ARE PROVIDED TO YOU ON AN
“AS IS”, “WITH ALL FAULTS” AND “AS AVAILABLE” BASIS WITHOUT ANY
REPRESENTATION OF WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
13.1. TUITIONIZE LTD NEITHER REPRESENT NOR WARRANT THAT THE SERVICE WILL BE
UNINTERRUPTED, ERROR-FREE OR COMPLETELY SECURE AND THE ENTIRE RISK AS TO
THE SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AND EFFORT RESTS WITH
YOU.
13.2. TUITIONIZE LTD EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, EXPRESS,
IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF FITNESS
FOR A PARTICULAR PURPOSE, MERCHANTABILITY, ACCURACY, TITLE, AND NON-
INFRINGEMENT. YOU ACCEPT THAT YOUR USE OF THE SERVICES PROVIDED BY Tuitionize
Ltd IS SOLELY AT YOUR OWN RISK.
13.3. YOU HEREBY EXPRESSLY RELEASE TUITIONIZE LTD FROM ANY AND ALL LIABILITY
ARISING FROM YOUR USE OF SERVICES.
14. LIMITATION OF LIABILITY
IN NO EVENT SHALL TUITIONIZE LTD BE HELD LIABLE FOR ANY INDIRECT,
CONSEQUENTIAL, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES ARISING OUT OF OR
ASSOCIATED WITH THE USE OF THE SERVICES. THE ABOVE LIMITATION OF LIABILITY
SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW REGARDLESS
OF WHETHER THE DAMAGES AROSE FROM BREACH OF CONTRACT, NEGLIGENCE OR ANY
OTHER CAUSE OF ACTION.
14.1. UNDER NO CIRCUMSTANCES SHALL THE LIABILITY OF TUITIONIZE LTD EXCEED
THE AMOUNT PAID BY YOU TO TUITIONIZE LTD IN SERVICE FEES IN THE THREE MONTH
PERIOD WHEN THE ISSUE FIRST AROSE.
14.2. TUITIONIZE LTD MAKES NO REPRESENTATION REGARDING THE SUITABILITY OR
AVAILABILITY OF THE SERVICES IN ANY LOCATIONS.
15. INDEMNITY
You agree to release, defend, indemnify, and hold harmless the Platform, its founders, affiliates,
subsidiaries against any claims, liabilities, charges, damages, losses, and expenses, including, without
limitation, reasonable legal and accounting fees, arising out of or in any way connected with:
(i) The violation of these Terms by you,
(ii) Your gross negligence or wilful misconduct, or
(iii) The infringement by you, or any third party using your Account, of any intellectual property or other
rights of any person or entity.
16. GOVERNING LAW AND JURISDICTION
This Agreement shall be construed in accordance with the English laws. Any action or claims brought
against Tuitionize Ltd must be brought in the court of competent jurisdiction in the United Kingdom.
17. SEVERABILITY
If for any reason, any provision of this Agreement or any part of any provision is deemed to be unlawful,
void, or for any reason unenforceable, then such provision will be limited or eliminated from this
Agreement only to the extent necessary and will not affect the validity and enforceability of any
remaining provisions.
18. FORCE MAJEURE
Neither Tuitionize Ltd nor the User will be held liable for failure to perform any of their obligations
towards the other if such failure is as a result of a force majeure event or acts of God (including fire,
flood, earthquake, storm, hurricane or other natural disasters), war, invasion, act of foreign enemies,
hostilities (regardless of whether war is declared), civil war, rebellion, revolution, insurrection, military or
usurped power or confiscation, terrorist activities, nationalisation, government sanction, blockage,
embargo, labour dispute, strike, lockout or any interruption or any failure of electricity or server, system,
computer, internet or telephone service. Whilst the performance has been suspended for more than 14
days, either Tuitionize Ltd or the User may terminate this agreement by immediate written notice.
